Who really controls a company? The answer should now be more easily accessible thanks to the cross-referencing and exploitation of data registered in the Central Register of Beneficial Owners (RCBE) platform. The General Directorate of Taxes (DGI) has signed four memoranda of understanding with institutional partners to enable this new stage in the implementation of the register.
The agreements were signed on Friday at the Ministry of Economy and Finance in Antaninarenina. They involve the General Directorate of Judicial Affairs, Studies and Reforms (DGAJER), representing the Ministry of Justice for the National Register of Commerce and Companies (RNCS-CM), the Independent Anti-Corruption Bureau (Bianco), the Economic Development Board of Madagascar (EDBM), and the National Chamber of Notaries of Madagascar (CNNM).
According to the ministry, this signing marks the transition from the technical construction phase of the RCBE to the effective exploitation of the data recorded on the platform. The register was officially launched on June 16, 2026. The objective of the protocols is to allow various institutions to cross-reference their information to better identify the beneficial owners of companies, compare available data, and detect potential inconsistencies or incomplete declarations.
The RNCS-CM holds information on companies, their associates, and their declared directors. The EDBM is involved in company creation and investor support. Notaries possess information related to the acts and operations they facilitate, particularly certain transactions involving companies. Bianco can, for its part, utilize this information within the framework of its missions.
Cross-referencing these various sources should allow for a better reconstruction of the ownership and control chain of a company and gradually improve the reliability of the information contained in the RCBE. For the DGI, the exploitation of the register should contribute to strengthening the fight against money laundering, tax fraud, and tax evasion. Data reliability should also facilitate information exchange with other jurisdictions.
This mechanism is part of Madagascar’s commitments regarding transparency and information exchange for tax purposes, particularly with the Global Forum on Transparency and Exchange of Information for Tax Purposes, as well as the standards of the Financial Action Task Force (FATF) regarding the fight against money laundering.
